PREAMBLE
We the members of Graduates Association of Niger Delta [GAND]  having solemnly, Unanimously and Firmly resolved to provide our selves a Constitution, Aware of the need to constitute ourselves into a united, Progressive and Developmental forum, Determined to defined and defend our right, discharged our duties in promoting development in an effort to strengthen development for the betterment of the society.

We here-by make enact and give ourselves the following constitution
.

CITATION.
The content of this instrument shall be quoted as the supreme constitution of Graduates Association of Niger Delta [GAND]. Niger Delta Region!

ARTICLE ONE.
NAME,ADDRESS, MOTTO, SLOGAN AND EMBLEM OF THE FROUM.

1,1  Name of the forum.
 The organization shall be known ,addressed and called “Graduates Association of Niger Delta [GAND]” it shall be referred as the “Forum, Organization and Association"

1.2  Address of the forum
The forum principal place of operation, offices and correspondence shall be: [GAND] Secretariat c/o President`s office.

1.3  Motto:
The motto of the forum shall be “Together for Success”

1.4  SLOGAN:
The slogan of the forum shall be “Voice of Graduate”

1.5  EMBLEM OF THE Association :
 The association loge shall constitute.........an image of Niger-Delta map crown with graduation gown cap with certificate tag in a circle, with the name of the association written in circle, with a symbol of people holding hands, that stand for togetherness for success and also has an acronym of G.A.N.D that stand for  Graduates Association of Niger Delta.  










ARTICLE TWO:
AIMS  
2.0 Bringing all Niger-Delta graduates under one umbrella after graduation from the university,to enable to create educational developed society in communication, connection and information sharing, that will assist in creating JOB opportunities, Sharing of ideas, sponsoring ideas, sourcing for funds to fund the ideas, that can create financial stability and a better lives for all Niger Delta graduates.      

OBJECTIVES
2.1 Working towards enlightening and empowering Niger- Delta Graduates

2.2 Building a patriotic and loyal society for the nation

2.3 Producing citizens to bring about positive change to the nation and world at large

ARTICLE THREE:
SUPREMACY OF THE CONSTITUTION
3.1   Supremacy of the constitution.
 This constitution shall be a legal entity of the forum. it has a binding force in all executive and members and super cedes any other conducts of individuals


ARTICLE FOUR
4.1 PRINCIPLES OF FORUM`S POLICY.

 (i) The composition of any zone shall be carried out in such a manner as to recognise each zone

 (ii) Every members of the forum is expected to imbibe and practice every part of the constitution



ARTICLE FIVE:
MEMBERSHIP
 A Person shall be qualify for membership of Graduates Association of Niger Delta [GAND] based on the following criteria :
(i) She/he must be a citizen (by Birth) of any of the nine (9) States of the region (ONDO,EDO,DELTA,BAYALSA,RIVERS,AKWA IBON,CROSS-RIVERS, IMO, and ABIA) States.

(ii) A certified (Bs.C, and HND) holder from any of the Universities in Nigeria and abroad.

(iii) He must not have been convicted in crime within the arm of the law

ARTICLE SEVEN
7.0  FUNCTIONS OF THE EXECUTIVES
7.1 President;
The president shall:

i. Preside at all executive council and congress meeting.

ii. Be the head of the forum’s executive council [EC]

iii. Supervise the activities of all other officiers of the executives committee.

vi. Be signatory to the forum’s account.

v. Have a casting vote in the event of tie in any matter or an election.

vi. Perform all other such duties as are consistent with the office of the president.

vii. Liaise with the secretary general to convene all meeting of the forum.


7.2   VICE-President

The vice president shall;

 (i) Assist the president in the performance of his\her duties

(ii) coordinate the activities of all Ad-hoc committees

(iii) Perform all the duties of the president in his\her absence.

(iv) Perform any other duty assigned to him by the president or the executive council.


7.3 Secretary General

 The secretary general shall
(i) Be responsible for the management of the secretariat of the Association
(ii) Will  Be responsible for keeping records and minutes of  council and congress meeting.

(iii) Responsible for all correspondence of the forum.

(iv) Also coordinate the activities of the various committees.

(v)  Summon all congress and council meetings at the instance of the National president.

 (vi)  Carry out other duties that may be assigned by the president and executives council from time to time.

 7.4   Assistant secretary General
The assistant secretary general shall

(i) Assist the national secretary

(ii) He\she shall perform the duties of the secretary general in his/her absence and any other Duties assigned to him/her from time to time.


7.5 Financial Secretary
The financial secretary shall;
(i). Collect and keep records of all income and expenditure of the forum.

(ii) Pass all incomes in bulk payment to the national treasurer.

(iii) Not keep any income received for more than 48hr.

 (iv) Carry out other duties that may be assigned by the president and the executive Council from time to time.


7.4 The Treasurer

 The treasurer shall:
 (i) I keep all monies of the forum

 (ii) keep proper records of all monies received and disbursed.

(ii) Be a signatory to the forum accounts.

(iii). Present an annual statement of accounts of the forum at the end of the financial year to the congress.

 (v) Carry out other duties that may be assigned by the president and the executives council from time to time.

7.7 Welfare Officer

 The welfare officer shall;

 (I) Be responsible for organisation and coordination of all social activities of the forum as directed by the national executive council of the forum

 (ii) Shall work hand in hand with the zonal coordinators in ensuring the welfare of the forum `s member

 (iii) Carry out duties that may be assigned by the president and executives council from time to time


7.8 Director of Media and Publicity /Public Relation Officer [DMP/PRO]

   Director of Media and publicity /public relation officer [DMP/PRO]

(I) shall publicize all activates of the forum as directed by the [NCE].

 (ii) Gather and disseminate information concerning the forum.

(iii) carry out other duties that may be assign by the president and the executive council from time to time



ARTICLE EIGHT 
8.0 STANDING COMMITTEES
8.1 The forum shall have the following committees
(i) Finance committees
(ii) Disciplinary committees
(ii) welfare committees
(iv)development and project committees

 8.2  The forum through the executive council shall constitute ad-hoc committee when the need arises, but must be disbanded at the end of the assignment


ARTICLE NINE 
9.0 POWER TO ACQUIRE PROPERTY
The executive council shall have power to acquire and dispose of property and receive gifts and donation on behalf of the Association.

 9.1 (i) the financial year of the forum shall begin 1st December and end 31st December

 (ii) The forum shall be liable to the extent of its own properties

 (iii) The banker of the forum shall be an indigenous bank to be appointed by the executive council

(vi) The signatories to the forums account shall be

 (a) The president
 (b) The financial secretary
 (c) Treasurer
 
It is mandatory that all the three official must be signatories to the forums account

(v)  Any withdraw  to be made from [GAND] bank account must be deliberated and discuss on by the house, in which 1/3 of [GAND] Memebers present during the deliberation must approve the transaction before any money can be withdrawn from the [GAND] Bank account.

(vi) [GAND] shall have ONLY one bank account number under its platform ,

(vi1) 70 % of money generated from other chapter or region must be remitted into the same bank account While 30% will be use for the chapters financial activities

 (vii) All budget and expenditure from headquarters and chapters must be approved by the office of the The president, Secretary and the financial secretary

 (viii) Failure to pay your dues as a member within three (3) months shall attract an additional 50% charges

 (x) All money collected in the name of GAND] both in cash or cheque  from a Donor,Patron,Government Church,Organization etc shall be paid into [GAND] account within 72 hours.

 9.2 AUDITORING

 (i) The congress shall appoint a firm of auditors to audit its account.

 (ii) The auditor shall audit the finances of the forum and present a written report to the congress


ARTICLE TEN.
10.0 MEETING
10.1 General meetings

 (i) The forum shall meet at least once in a month and at other times as the occasion arises.

(ii) The place and time of the meeting shall be specified on the notice convening the meeting

 10.2 Executive council meetings

 (i) executive council shall meet as the need arises. such meeting shall be convened by the secretary general on the request of the president

 (ii) In an executive meeting 2/3 members shall constitute a quorum and provided the president or vice- president and secretary general or assistant secretary general is present .

 10.3 EMERGENCY GENERAL MEETINGS

 An emergency general meeting may be summoned when necessary by the secretary general, On demand by at least 2/3 majority of the members of the executive council” On demand by at least one tenth (1/10) of the member of the forum at the instance of the president

10.4 CONDUCT OF MEETING

(i) The minutes of the immediate proceeding meeting shall be read and adopted at the beginning of every meeting

(ii) The official language shall be English

(iii) Tandom movement not be permitted when a meeting is in session and not more than two persons is permitted to leave at a time.

(iv) The president shall allow the following point in the order as they appear here:

 (a). Point of order: to remind the congress about constitutional statement violations and derailment

 (b) Point of correction: to correct wrong impression and information fed to the congress or to clarify clouded statements.

(c) Point of information: to say what is yet unknown to the congress, remind or recall forgotten information

 10.6 The congress shall have the power to call for a meeting when necessary


(i) The congress shall have the power to remove any erring officers after due investigation by the disciplinary committee.

 (i) the congress shall have the final decision on any issue that affects the association.

 (iii) in a situation where they should not come to a compromise, the house be divided and the majority carries it.

 (vi) the congress should be the decision making channel all suggestion from the executive be brought there.


ARTICLE ELEVEN
11.0 ELECTORAL COMMITTEE
(i) The electoral committee shall be appointed during the last meeting of the general house and the committee shall have the power to organize, screen and supervise all elections of the association.

(ii) Any protest for irregularities in the election shall be made open to the chairman of the electoral committee before the release of the results of the election.

(iii) Where an irregularity in the conduct of election is established, the electoral committee shall suspend the release of the result or declare the election invalid.

(iv) the election shall be by open/secret ballot system

(v) the candidate with simple majority of vote cast shall be declared the winner of that position contested.

(vi) candidate(s) for a position that was challenged shall be returned unopposed.

(vii) the decision of the electoral committee towards the election shall be final.


ARTICLE TWELVE 
12.1 ELECTION
(i) Any candidate contesting for any position must be a citizen of any state from the Niger delta

 (ii) A candidate must present to the electoral committee his/her receipt to show his/her financial commitment to the association.

 (iii) A candidate must attend the meeting totality 70% attendance for such candidate to qualify to stand for that election.

 (iv) A candidate must have no criminal record or quality of any crime within the arm of the law

12.2 TENURE OF OFFICE (i) The duration of office shall not be more than TWO (2) years from assumption of office.

(ii) Any executive member is allowed to contest for a second term in office after which such executive/candidate is not eligible to contest again.


ARTICLE THIRTEEN
13.0 REMOVAL OF OFFICER(S)/EXECUTIVE(S)
13.1 An officer or executive shall be removed from office for any stated or misconduct, inefficiency or incapacity approved by 2/3 majority of members present in that meeting where the resolution to do so was passed.

 ARTICLE FOURTEEN
14.0 SUSPENSION OF ANY OFFICER/MEMBER
(i) In pursuant to article thirteen above the aforesaid provision shall have no prejudice, power of the general house to suspend indefinitely an indicted officer/member pending the determination of the substantive case

 (ii) Any person being remove/suspended from office or association under the above section shall within 24hours surrender all properties of the association in his or her possession to the general secretary.


ARTICLE FIFTEEN
15.0  RESIGNATION OF OFFICER(S)
(i) any officer who intends to resign for any reason within his /her knowledge shall tender his/her resignation in writing through the secretary and shall give up all properties of the association in his /her possession within 24hours

(ii) Such resignation shall only take effect on the approval of 2/3 majority of the members present and voting.


ARTICLE SIXTEEN
OFFENCE & PUNISHMENT

16.0 Any registered member who:

(i) abuse of the name of the association, in forging or fraud  is liable for expulsion from the association

(ii) Any member who fails to attend meeting without reasonable excuse or reason shall pay a fine of #........?

(iv) Any member who leaves the meeting without permission shall pay a fine of #100?

(v) Disturbance and other unparliamentarily behaviour at the meeting or any gathering of association shall be deemed as offence and any person found guilty of the provision of the above shall be liable to pay a fine of #100.

 (vi) Objection without observation during meeting shall attract a fine of #100

(vii) Any member who refuses to accept appointment without compelling and concrete reason(s) for his or her refusal shall pay a fine #

(viii) Any member or official negligent to the duty shall pay a fine of #100


ARTICLE SEVENTEEN
17.0  FINANCE/RESOURCE OF REVENUE

17.1    Subject to the provision of this constitution, the sources of revenue accruable to the association shall include:

(a) Dues, levies and fines

(b) Donation, goodwill, grants and self help project(s)

(c ) induction fees, fund raising etc.

(iv) without affecting the generality of the above section, the executive council may impose dues on the members to provide logistic machinery for contingent matters subject to be approved by 2/3 majority of the members of the general house present at that meeting where the resolution to do so was passed.

ARTICLE EIGHTEEN
 19.0 LOANS
(i) Financial members only written application to the officials of the association shall have right to take loan from the association treasurer provide that, the executives approve the purpose for which the loan is being sought.

(ii) A Bonifay financial member shall only be granted a loan.

ARTICLE NINTEEN 
19.0 SUPPLEMENTAL:

(i) The officers name shall not be called during the meeting as an honour to the association

(ii) All members have freedom of speech provided there is an observation

 (iii) Disputes between members of association shall be resolved by the general house.

(iv) The trustees shall be the president, financial secretary and treasurer and they shall be signatory to the association account.

 (v) The [GAND] bank account phone alert shall be with the “Director of media and publicity” for the enhancement to publicize the financial statement of the forum to the members when transaction is being made.

 (vi) It is civic responsibility for a member of the association to vote during election.

ARTICLE TWENTY
20.0 DISCIPLINE
(i) Discipline shall be strictly enforced within the association and if any member is found guilty of any offence, he shall be liable to punishment as provided in this constitution.

(ii) Offences shall include:

 a) Flouting the constitution of the association

 b) Acting in manner that is likely to bring the name of the association to ridicule, disrepute and/or contempt.

c) Fraudulent or dishonest act which may embarrass or disgrace the association

d) Giving out official information of the general house without the authority of the association

e) Defrauding the association in any of its official/agent

ARTICLE TWENTY ONE
21.1 BENEFITS
(i) The association shall fund legit business ideas of it members, that will create job opportunities for old and newly graduates.
(ii) the association shall make decision to assist any member in need if affordable. And also assist  Financially, Morally, and Otherwise to any faithful member who intends to seek for any political office in the society
(iii) the association shall  endeavor to create an environment for job creation through, connecting the working member and the just graduating members


ARTICLE TWENTY TWO 
22.0 STRUCTURE OF ORGANIZATION
There shall exist state officers for the nine(9) state of the region.
i) Such offices shall consist of state coordinators and its assistant’s
ii) The state coordinators shall have the rights to create other officers for effective management if necessary.

ARTICLE TWENTY THREE
23.0 AMENDMENT
This constitution shall be amended if agreed by2/3 majority members of the association present at that where the resolution was discussed....
